1. Acceptance of these Terms and Conditions

Welcome to Features TV, which is a trademark of Daffodil Media Ltd.

These terms are entered by and between Features TV (FTV) and any subsidiary thereof (“we”, “us”, “our”) and you. “You” are the individual or the legal entity choosing to access our online video store.

FTV reserves the exclusive right at its sole discretion to update and amend in any way whatsoever these terms and conditions at any time and you agree to such right of FTV and accept and acknowledge these terms and conditions are revised from time to time.

Changes are effective after we provide you with at least ten days’ notice by posting the changes on the FTV website. It is your responsibility to periodically check any updates.

By purchasing our video (“content” or “material”) you agree to abide by these terms and conditions.

2. Definitions

“Content” shall mean any content that may be uploaded, including without limitation, text, software, scripts, graphics, photos, sounds, music, videos, interactive features and any other form of data that may be transmitted through the Internet.

3. Conditions of Use

By using our services you hereby declare and warrant:

3.1. your awareness, understanding and complete acceptance of these terms and conditions;

3.2. you are at least 18 years of age and legally capable of entering into contracts under the laws of England and Wales;

3.3 should you use our services on behalf of a legal entity, you hereby certify and guarantee that you are fully authorized and entitled to bind such legal entity.

4. Conditions of Sale

By agreeing to these terms and conditions you agree to the following license agreement, whereby we grant you:

4.1. non-exclusive rights to broadcast, re-edit and repeat the content in perpetuity (a separate license agreement and fee must be reached for exclusive rights);

4.2. nothing in the material shall infringe copyright or shall constitute a contempt of court or be defamatory;

4.3 we are fully entitled to grant all rights in the material.

And you warrant and undertake that:

5.1. the content shall be used for editorial purposes only. Our videos are not for commercial or advertising purposes;

5.2. you shall not sell on all or any part of the content purchased from FTV;

5.3. we shall not be liable for any claim, loss, damage or injury suffered by you or by a third party in connection with the content;

5.4. the content may be freely assigned and licensed by us in perpetuity (unless an exclusivity agreement has been signed);

5.5. you hereby indemnify us irrevocably against all costs, claims, expenses and liabilities (including, without limitation, legal fees and any sums paid on the advice of Counsel) resulting from the breach by you of any of your obligations under this agreement;

5.6. any dispute arising from these terms and conditions or from purchasing our content will be subject to the exclusive jurisdiction of the courts of England and Wales.
